Purchase Orders as well as amendments and changes thereto must be in writing and duly signed in order to be valid and binding. These Terms and Conditions of Purchase shall apply exclusively; we hereby object to any additional or different terms and conditions which may be contained in any prior, contemporaneous or subsequent communication from Supplier.
2. Acceptance of Purchase Order We expect Supplier's acceptance of Purchase Order by countersigning a copy of the Purchase Order.
3. Date of Delivery
All dates of delivery are strictly binding. In case of delay in delivery, we are entitled to cancel the Purchase Order if delivery has not been made within a reasonable grace period set by us.
4. Prices and Payment Terms
The prices contained in the Purchase Order are fixed prices which are not subject to increase for any reason whatsoever. Payment will be made in accordance with the payment terms contained in the Purchase Order after receipt of the invoice and the merchandise.
5. Assignment of Outstanding Amounts Payment will exclusively be made to Supplier. Supplier is not entitled to assign its claims to a third party.
